This evZAPP mobile application (“App”) is owned, operated and maintained by MAVI Green Energy Private Limited (“MAVI”/ “Our”/ “Us”), a Company incorporated under the Companies Act, 2013 having CIN U43219PN2023PTC224187, and having its Registered Office at B1309, Stargaze Society, Near Windmill Village, Bavdhan, Pune 411021 Maharashtra, India. This Privacy Policy (“Privacy Policy”) describes the information that MAVI collects about You when You use or visit Our Site or the App and how MAVI uses and discloses that information.

MAVI is committed to safeguarding the privacy of the personal information that we gather from You as our customers or as visitor of the website and/or as the user of App (“User” /“You”/ “Your” “Customer”). This Privacy Policy is subject to our Terms and Conditions, which can be accessed at evZAPP App. This Privacy Policy may be revised from time to time. At any time, the current version of the Privacy Policy can be found on the Site here. By using the Site or/and the App and/or accepting the services provided by MAVI and/or by transmitting information to Us by email or other electronic means, you agree to this Privacy Policy.

INFORMATION COLLECTION::

MAVI collects the following User information:

A) Information collected on App: When You use the services or the App personal information like Your name, e-mail address, home address, vehicle details, telephone/Mobile number, display picture and in addition to the abovementioned information, personal information may automatically or voluntarily be collected from You. Such personal information may include information on mobile device being used and charging activities such as location information (GPS-data) and other information, e.g. time, duration spent at a charging station, etc. MAVI use this information to help Us understand usage patterns and improve Your experience using our services and improve our services.

B) MAVI may track certain information based upon Your behavioral pattern on this Site.

USE OF PERSONAL INFORMATION:

1) The personal information collected from the User shall be used for the following purposes:

1. For the purposes of providing services to You;

2. To resolve Customer disputes or inquiries;

3. To communicate important notices or changes to the services provided by MAVI on the Site or the App and the terms/policies which govern the relationship between MAVI and You;

4. For promotion and marketing purposes;

5. For internal record keeping purposes;

6. To improve our services and the Site and the App;

7. To manage the Users account;

8. For collating Your feedback as provided by the User.

2. MAVI may aggregate information and data about You and Your use of the Site and the App and provide such aggregated information and data to customers, partners, and advertisers and for marketing or promotional purposes. In these circumstances, we do not disclose information that could be used to personally identify You.

DISCLOSURE OF INFORMATION:

MAVI does not share any of Your information with third parties except:

o With respect to providing the information or services that the User has requested;

o With Your express permission for sharing such information;

o With intermediaries who require such information as per regulatory requirements and procedure laid down by regulatory authorities;

o To prevent, detect and investigate potentially prohibited or illegal activities including fraud, and enforcing Our terms;

o To confirm Your identity if You are to exercise legal rights;

o To notify You about changes in this Privacy Policy;

o To carry out Our obligations and enforce Our rights arising from any contracts entered into between You and MAVI.

PROTECTION OF YOUR PERSONAL INFORMATION AND DATA SECURITY:

o Access by You to Your Personal Information is available through Phone based OTP authentication. We recommend that You do not divulge Your Password to anyone thereby maintaining the confidentiality of Your account, username and password and also restricting access to Your computer. Furthermore, You are wholly responsible for any and all activities that occur under Your account, wherein MAVI will not be liable for any loss that You may incur as a result of someone else using Your account, username and password, either with or without Your knowledge. If You know or suspect that someone else knows Your username and password, You should notify MAVI by contacting Us immediately at help@mavigreenenergy.com .

o MAVI have implemented appropriate security controls within the services to protect Personal Information from accidental or unlawful destruction or accidental loss, alteration, disclosure, or access.

o If MAVI has a reason to believe that there is likely to be a breach of security or misuse of this Site, MAVI may require You to change Your username and password or MAVI may suspend Your account without being liable thereto.

o Information collected via the services is encrypted before transmission to ensure that it will remain secure and confidential. The services include various security measures to enhance the security of Your profile and to prevent unauthorized access to, or disclosure of, personal information. Only those authorized by You or Us will have access to a User’s profile and only through unique IDs and passwords.

o Please note that no security measures are fully complete and hence We do not guarantee that your personal information will not be collected and used by others.

o You should take adequate steps to protect against unauthorized access to Your account on the App. MAVI shall not be responsible for the unauthorized use of Your information and for any unauthorized activity on Your account.

o Please be aware that the Services may be unavailable during periods of routine maintenance.

THIRD PARTY LINKS:

The Site or the App may contain links to other websites. This Privacy Policy does not apply to information that You provide to, or that is collected by, any third-party, and any third-party websites that You access or use in connection with the services offered and use of the Site or the App. Please note that MAVI is in no way liable for any loss, breach, theft of Your personal data due to the acts of such third-parties and that MAVI have no control over the practices and content of any such third-party website.

ACCESSING YOUR PERSONAL INFORMATION:

o All requests for access to Your personal information must be submitted in writing by emails to MAVI. MAVI may respond to Your request by email or any other suitable method.

o MAVI may at its sole discretion reject requests that are unreasonably repetitive, require disproportionate technical effort or risk the privacy of others.

o If so, required for warranty, support and maintenance or statutory requirements, MAVI may keep Your information in Our backup systems after You have deleted information from our services in a manner that protects information from accidental or malicious destruction or use.

o MAVI will try to update Your personal information as MAVI becomes aware of changes; however, MAVI will be able to serve You best if You update Your information or notify us of any changes to (or errors in) Your information. You can update Your information through the App and/or Site, or by calling Us at +91 8530203277

INDEMNIFICATION:

o User shall indemnify and hold MAVI, its subsidiaries, affiliates, officers, agents or other partners, directors and employees, harmless from and against any claims and demand, including attorneys' fees, made by any third party due to or arising out of or relating to

o The personal data received by Us and information that You submit or share with Us;

o The violation of this Privacy Policy;

o The violation of rights of other clients of MAVI.

LIMITATION OF LIABILITY::

MAVI including its subsidiaries, affiliates, officers, agents or other partners, directors and employees, not be liable for any damages, direct or indirect, incidental or consequential, and all liabilities (including for negligence, loss or damage such as loss of revenue, unavailability of system or loss of data) and for use of or inability to access or use the services of any kind that is offered or to provide indemnity or any other remedy to You or any third party.

PRIVACY POLICY UPDATES:

MAVI reserves the right to change, alter, modify, amend and update this Privacy Policy, from time to time at its sole discretion or on account of changes in law or otherwise. All terms and conditions are applicable to the extent permitted by law. MAVI will not reduce Your rights under this Privacy Policy without Your explicit consent and MAVI expects most of such changes, alterations, modifications, amendment and updates will be minor. Regardless, MAVI will post any Privacy Policy changes, alterations, modifications, amendment and updates on this page and if the changes, alterations, modifications, amendment and updates are significant, MAVI may provide a more prominent notice (including, for certain services, e-mail notification of Privacy Policy changes).

GOVERNING LAW:

This Privacy Policy shall be construed and governed by the laws of India. The courts in Pune,India shall have an exclusive jurisdiction over any disputes arising under this Privacy Policy.

REFUND POLICY:

ACCEPTANCE:

This Refund Policy (“Policy”) is being provided by MAVI Green Energy Private Limited (“MAVI”) to the customers of MAVI (“Customer”) using the evZAPP Mobile Application (“evZAPP App”) and shall be read along with the Terms and Conditions for evZAPP App (“Terms and Conditions”). By using the evZAPP App you agree to the terms of this Policy. This Policy may be revised from time to time at the sole discretion of MAVI.

DEFINITIONS:

o “Charging Session” shall mean the duration between the start and stop of charging of an electric vehicle at the Charging Stations.

o “Charging Stations” shall mean an electric vehicle charging unit where you may charge your electric vehicle.

o “E-Wallet” shall mean a pre-paid account used to store money and transact online on the evZAPP App, which shall be used to make payments.

o “Payment Facilitator” shall mean the third-party payment processor/facilitator namely Razorpay and any other facilitator decided by MAVI from time to time.

o “Promotional Credits” shall mean any referral bonus, cash-back offers or any other form of credits provided by MAVI to the Customer.

o “Services” shall mean the facilitation of charging service of electric vehicle by MAVI through the evZAPP App and all other services offered by MAVI through the evZAPP App.

REFUND POLICY:

o In case the Customer intend to receive refund of his/her/its money back from his/her/its E- wallet, the Customer shall be required to write an email to help@mavigreenenergy.com citing the valid reasons for seeking refund. This refund will be at the sole discretion of MAVI and if approved, it shall be processed within a reasonable period of time. The refund, if any, will be adjusted by deducting 5 % of the refund amount towards the transaction cost paid to the Payment Facilitator and Service cost of MAVI. Customer acknowledges and accepts that the refund shall be made directly from the E-wallet only and the refund shall not be in any other means or methods. MAVI shall not refund any Promotional Credits provided to the Customer during the usage of the evZAPP app and the Promotional Credits shall stand cancelled/abandoned.

o During the Charging Session any technical error occurs and the payment is wrongly deducted from the Customer account, MAVI shall validate the technical error and refund to E-Wallet shall be at sole discretion of MAVI.

CONFLICT:

In the event of any conflict between the provisions of this Policy and Terms and Conditions or in the event of conflicting provisions in the Terms and Conditions, the provisions of this Policy shall prevail to the extent of such conflict and be binding on the parties.

Cancellation Policy

1. This Cancellation Policy (“Policy”) is being provided by MAVI Green Energy Private Limited (“MAVI”) to the customers of MAVI (“Customer”) using the evZAPP Mobile Application (“evZAPP App”). By using the evZAPP App you agree to the terms of this Policy. This Policy may be revised from time to time at the sole discretion of MAVI.

2. Customer may cancel and reschedule the reservation slot booking on evZAPP App any time.

3. At present no charges are collected for cancellation and reschedule of the booking slot reservation. However, MAVI reserves the right to change, alter, modify, amend and update this Cancellation Policy, from time to time at its sole discretion or on account of changes in law or otherwise. All terms and conditions are applicable to the extent permitted by law.

How to Cancel or Reschedule

Login to evZAPP App > Click Reservation > Cancel Reservation/Reschedule the selected booking.

Accessing your information

As mentioned in our Privacy Policy, if so, required for statutory requirements or legal requirement, MAVI may keep Customer information in Our backup systems even after Customer has deleted information from our services in a manner that protects information from accidental or malicious destruction or use.

Terms and Conditions Policy

These Terms and Conditions constitute a binding legal agreement between each end user (hereinafter "you" or “your” or “Customer”) and MAVI Green Energy Private Limited, a company incorporated in India having its registered office at B1309, Stargaze Society, Near Windmill Village, Bavdhan, Pune 411021 Maharashtra, India ("MAVI"), and are applicable each time you access or use evZAPP mobile application (“evZAPP App”). evZAPP App is owned and operated by MAVI.

You should therefore read carefully the following terms and conditions ("Agreement") as it governs your use and access of evZAPP App. If you do not agree with this Agreement, you are not granted permission to access or otherwise use evZAPP App or any component thereof. By visiting and/or using any of the Services on ME App or by clicking or tapping the acceptance button upon signing up for an account on evZAPP App, you hereby accept to be bound by this Agreement without any reservations, modifications, additions or deletions.

Definitions:

o “Agreement” shall mean these terms and conditions for MAVI mobile application namely evZAPP App;

o “Charge Card” shall mean and include the physical Charge Card or RFID tag;

o “Charging Stations” shall mean an electric vehicle charging unit where you may charge your electric vehicle;

o “Charging Session” shall mean the duration between the start and stop of charging an electric vehicle at the Charging Stations;

o “Device” refers to the handheld or tablet device, which is capable of accessing the evZAPP App;

o “E-Wallet” shall mean a pre-paid account used to store money and transact online on the evZAPP App, which shall be used to make payments;

o “Charging Fees” shall mean the fees charged during each applicable Charging Session, which shall be reflected on the evZAPP App;

o “Payment Facilitator” shall mean the third-party payment processor/facilitator namely Razorpay or any other facilitator decided by MAVI from time to time;

o “Promotional Credits” shall mean any referral bonus, cash-back offers or any other form of credits provided by MAVI to the Customer.

o “Services” shall mean the facilitation of charging service of electric vehicle by MAVI through the evZAPP App and all other services offered by MAVI through the evZAPP App;

o “Website” shall mean MAVI websites namely www.mavigreenenergy.com;

MAVI Services:

o MAVI offers its Services to the customers at the Charging Stations either owned by MAVI or by a third party and Charging Stations are linked to MAVI's network of Charging Stations.

o The provisions of this Agreement govern your use and access of the Service including use of MAVI’s Charge Card and Charging Stations and all ancillary services availed by you through MAVI's network.

o MAVI grants to you a non-exclusive, non-transferable, revocable limited right and license to download, install and use evZAPP App solely and exclusively for your personal use and on your own Device.

o The Charging Stations on MAVI’s network can be viewed on the evZAPP App. evZAPP App is available on iOS and Android stores.

o You shall register only electric vehicles on evZAPP App. Any attempt to register any other kind of vehicles may result in cancellation or suspension of your account either temporarily or permanently.

Registration:

o evZAPP App is a one-stop shop for you for charging your electric vehicles.

o You can register on evZAPP App by registering your mobile number and validating with a One Time Password sent on the mobile phone. You acknowledge and accept that each mobile number shall be registered separately and shall be a single account.

o Mobile number is the key to use and access evZAPP App including network of all the MAVI’s Charging Stations across India.

o You are required to enter your valid email address to communicate with MAVI’s support team and also for receiving or sending important correspondence/s.

o You shall fill out your delivery address details as correctly as possible to receive the Charge Card and after payment applicable charges.

Payment:

o You have to recharge your E-Wallet in advance for using MAVI Services. In order to recharge evZAPP E-Wallet, you will be required to enter the following information which includes but may not be limited to your credit/debit card details and the One Time Password received by you on your mobile number registered with your bank.

o MAVI makes use of Payment Facilitator payment gateway for recharging your E-Wallet. MAVI and Payment Facilitator are unaffiliated companies and MAVI has no influence on the operations of the Payment Facilitator. MAVI and its affiliates, group entities, legal representatives and 3 permitted assignees shall in no way be held responsible for any losses or damages, direct or indirect, pecuniary or otherwise, resulting from any error or failure on the part of the Payment Facilitator.

o MAVI shall bear the transaction cost of Payment Facilitator and you will be credited 100% of the amount in your E-Wallet.

o You can also use evZAPP App to start and stop a Charging Session depending upon the charger make and model. You may additionally use the Charge Card to start and stop a Charging Session.

o You shall provide your correct contact address to ship the Charge Card. MAVI shall not be liable for any refund or damage or loss caused due to wrong or incomplete address details provided by you for shipment of Charge Card.

o You must activate the Charge Card on evZAPP App to confirm that you have received the Charge Card. Once the Charge Card is activated on evZAPP App, then only you will be able to use the Charge Card for availing the Services.

o MAVI has the right to indefinitely suspend your evZAPP account if the conditions of this Agreement or for payment are not met as mentioned herein.

o Use of the Services in the form of charging session and transaction history is stored on evZAPP App . The charging history provides the basis for the actual cost you have paid for availing the Services on evZAPP App. evZAPP App can also be used to see your recent transactions for upto 3 (three) months. For historical transactions, you must reach out to MAVI customer support at help@mavigreenenergy.com.

o During the Charging Session, on account external factors not in control of MAVI it is possible that the Services may be disrupted in which case, MAVI shall not be responsible.

Charge Card:

o To access the Services and to use MAVI's network of Charging Stations, a Charge Card may be required. The Charge Card is obtained by placing a written request for a physical card on evZAPP App.

o MAVI reserves the right to refuse issuance of the Charge Card at any point of time.

o The Charge Card can only be used to start Charging on MAVI network Charging Stations. The network, of Charging Station is visible on evZAPP App.

o The cost of each respective Charging Session is recorded on the Charge Card. Using the Charge Card for Service is regarded as recognition of the Charging Session and the conclusion of contract for the purchase of the Services between the Customer and connected to Charging Station owners on MAVI.

o The Charge Card is valuable and it is at the Customer's sole responsibility to store the Charge Card in a safe manner so that unauthorized persons cannot access or use it. If the Charge Card is lost or stolen, the holder of the Charge Card should promptly contact MAVI on +91 8530203277 or help@mavigreenenergy.com. The holder of the Charge Card has the option to deactivate the Charge Card on the evZAPP App. In case of lost or stolen Charge card Customer is responsible block the Charge Card from the evZAPP App and apply for replacement Charge Card with an additional cost. Customer must maintain the minimum balance in the E-Wallet to ensure that the cost of the replacement Charge Card can be deducted. No replacement Charge Card will be issued if the Customer does not have the required minimum balance in the E-Wallet. Customer must update his/her address on evZAPP App. If unauthorised transactions have been made with the Charge Card, the Customer shall lodge an official complaint with the police. MAVI is not liable and shall not be responsible for any unauthorized use or misuse of his/ her Chargecard.

Equipment and MAVI's Charging Stations:

o The charging speed of chargers is dependent on several factors such as the technical specifications of the electric vehicle, weather, the vehicle battery charge level capacity and the Charging Station, of which the component with the lowest capacity will be decisive for the effect the electric vehicle can assimilate. MAVI cannot guarantee that the charging of an electric vehicle will be implemented within a maximum validity period or with minimum impact.

o Instructions on how MAVI's Charging Stations are to be used can be found at the Charging Stations or on evZAPP App.

Charging Fees:

EvZAPP App and/or the user interface of the Charging Station/s shall display the Charging Fees charged during each applicable Charging Session. By using the Payment Facilitator at a Charging Station, you agree to pay the Charging Fees disclosed through the evZAPP App or at the Charging Station.

Availability:

o Except for scheduled maintenance and downtimes, the MAVI Services is available for Customers around the clock, but in practice the ability to recharge is limited due to certain reasons including but not limited some Charging Stations not being accessible at certain times due to specific restrictions. MAVI shall not be liable for any Charging Station being inaccessible or unavailable due to any circumstances which are not in control of MAVI.

o The current availability of MAVI’s Charging Stations is communicated/ visible on or MAVI App.

o MAVI strives to make sure that the Charging Stations in MAVI’s network should be as operational as possible. If a Charging Station is affected by a malfunction, MAVI will fix the error as soon as possible. Unavailable or unusable Charging Stations will be marked on evZAPP App.

o MAVI reserves the right, without compensation or any liability to the Customer, to modify, restrict access to, or suspend the Services or Charging Station, for example, for updates, maintenance and error correction or by force-majeure circumstances outside MAVI’s control.

Consumption and data:

o MAVI will save the charging history for each Customer (which includes, for example, information on the Charging Station used, the utilised electricity, the amount and time of use of the Services). Customer personal data will be processed in accordance with the applicable data protection laws and with the provisions stated in MAVI’s privacy policy available on its evZAPP app.

o The Customer agrees that the data associated with the Customer's use of the Services and Charging Stations will be processed and stored by MAVI, other group companies or MAVI's partner in accordance with applicable legislation, and by third party vendors to the extent it is needed for the administration and performance of the contract with the Customer and related services. The data collected will also be addressed in connection with business and product development, statistics, marketing and Customer analysis and direct marketing (provided that the Customer has not announced that they oppose direct marketing from MAVI by providing the complaint on the Website).

o The Customer agrees that the collected data about the Customer will be processed for purposes such as product development, statistics, marketing and customer analysis as well as direct marketing provided the Customer has not reported to MAVI that he or she opposes direct marketing. This processing of data is founded on MAVI's legitimate interest. Data that is collected is saved during the time the Customer has a valid agreement with us and during the period necessary to govern the Customer's final contractual relationship with MAVI or legal requirements.

o Customer shall indemnify MAVI against any claim by any third-party individual whose personal data is recorded or processed by Customer or for which Customer is responsible pursuant to the applicable laws, a data processing agreement or otherwise, unless Customer is able to demonstrate that the acts that form the basis of the claim are exclusively attributable to a default of MAVI. Customer is solely responsible for and MAVI has no responsibility to Customer or any third party for the Customer data. MAVI has no obligation to monitor Customer data, but MAVI has the right at all time, to remove Customer data which infringes applicable laws and/or this Agreement.

o Customer shall take all appropriate steps to back-up or otherwise secure or protect its data. In case of loss or corruption of Customer data, MAVI is only obliged to undertake reasonable efforts to perform a restoration based on the most recent available back-up. Under no circumstances is MAVI obliged to reconstruct Customer data.

o Customer acknowledges and accepts that MAVI has the right to share Customer data with third parties in order to perform the Services, as well as the right to use Customer data for improving its Services, including anonymized statistical purpose.

Service Warranty; Disclaimer:

o MAVI warrants that the Services, will be performed substantially in accordance with MAVI policies and MAVI will undertake reasonable efforts to provide such Services.

o To the maximum extent permitted under applicable laws, your use and/or access of the evZAPP App or Services is at your sole risk. The Services on evZAPP App are provided on an “as is” and “as available” basis. MAVI expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to implied warranties of merchantability, fitness for a particular purpose and non-infringement. MAVI makes no warranty that (i) the Services will meet your requirements or expectations, or (ii) the operation of the Services will be uninterrupted, timely, secure, or error- free.

o MAVI is not responsible for any damage due to lack of compatibility between the Customer's electric vehicle and Charging Station or use of the Services or Charging station by the Customer in violation of the current applicable instructions and technical requirements, as set in this Agreement or as MAVI otherwise makes available to the Customer.

o MAVI is not responsible for incidental or consequential damages, attributable and arising from, the Customer's property and Customer's use of the Services or Charging Station.

o The Customer is not entitled to damages due to a Charging Station being closed or out of order.

o The Customer is responsible for compliance of all guidelines and requirements in accordance with the instructions given by MAVI from time to time. This includes responsibility for the electric vehicle the Customer is using, in connection with the Services.

o The Customer is also responsible for the Charge Card not being used or misused by unauthorized persons.

o MAVI reserves the right to immediately block the Charge Card if the Charge Card is abused or if there is a risk of unsafe use of the Charge Card or on suspicion of unauthorized use or risk to the Customer.

Limitation of Liability:

o In no event shall MAVI be liable to Customer including its employees, affiliates, representatives, directors, etc. or any third party for any loss of use, revenue or profit or diminution in value, or for any consequential, indirect, incidental, special, exemplary, or punitive damages whether arising out of breach of contract, tort (including negligence) or otherwise, regardless of whether such damages were foreseeable and whether or not MAVI has been advised of the possibility of such damages. MAVI shall not be liable for any loss or damage or claim on account of personal injury or damage to any third party’s property.

o In no event shall MAVI’s aggregate liability arising out of or related to the Agreement, whether arising out of or related to breach of contract, tort (including negligence) or otherwise, exceed the total of the amounts received by MAVI for the Services performed hereunder in the 1 (one) month, preceding the events giving rise to the claim.

Injunctive relief:

Customer acknowledges that any breach, threatened or actual, of this Agreement, will cause irreparable injury to MAVI, such injury would not be quantifiable in monetary damages, and MAVI would not have an adequate remedy at law. Customer therefore agrees that MAVI shall be entitled, in addition to other available remedies, to seek and be awarded an injunction or other appropriate 7 equitable relief from a court of competent jurisdiction restraining any breach, threatened or actual, of your obligations under any provisions of this Agreement.

Indemnification:

You shall indemnify, defend and hold harmless MAVI and its affiliates and any of their officers, directors, employees, agents, service providers and other consultants (collectively, the “Indemnified Parties”) against any claim or loss, cost, damage, injury or expense (including attorneys’ fees, costs and expenses) and other liabilities arising out of any claims, demands, suits, or causes of action by third parties arising out of or in connection with: (i) your use or access of evZAPP App; (ii) your violation or breach of this Agreement; (ii) any loss or damage or claim on account of personal injury or damage caused to any third party’s persons property due to you misuse of MAVI Services or evZAPP App; (iv) act of negligence or misconduct.

Assignment:

o The Customer acknowledges that MAVI may assign or otherwise transfer its rights or obligations under this Agreement to third party including another company within the same group or to another party that can reasonably be expected to fulfil the obligations as mentioned hereunder.

o The Customer is not entitled to transfer, assign its rights or obligations, wholly or partially under this Agreement. Any purported assignment in violation of this clause shall be null and void.

Restrictions:

1. In connection with your use of the Services or in the course of your interactions with MAVI, other users, or third parties, you will not:

o commit a breach of this Agreement, or any other agreement or policy that you have agreed to with MAVI;

o violate any applicable law or regulation;

o infringe or attempt to misuse MAVI’s or any third-party’s copyright, patent, trademark, trade secret or other intellectual property rights, or rights of publicity or privacy;

o act in a manner that is defamatory, trade libelous, threatening or harassing;

o provide false, inaccurate or misleading information.

Validity:

This Agreement shall be valid indefinitely. MAVI may terminate your use or access to all or any part of the evZAPP App at any time, with or without cause, with or without notice, effective immediately. MAVI shall also have the right to terminate your use or access to all or any part of the evZAPP App with immediate effect if you violate any of the terms or uses the Services or a Charging Station in breach of terms of this Agreement or in such a way that harm or damage occurs to MAVI.

Amendment:

MAVI has the right to change/update the terms of this Agreement from time to time. You will be informed about such updates/changes through evZAPP notifications. Your continued use or access 8 of evZAPP App after such updates/changes conclusively demonstrates your confirmation and acceptance of such updates/changes.

Governing Law and Jurisdiction:

o This Agreement be governed by and interpreted in accordance with the laws of India, without regard to the choice or conflicts of law provisions of any jurisdiction. The Customer agrees that, in the event of any dispute arising in relation this Agreement whether in contract or tort or otherwise, to submit the same to the exclusive jurisdiction of the courts located at Pune, India for the resolutions of all such disputes, subject to the Arbitration clause below.

o If any dispute or difference shall arise at any time between the Parties hereto for or in connection of any clause thereof, then the Parties shall use their best endeavors to amicably settle the same. If any dispute continues between the Parties and the Parties fails to reach an amicable settlement within 30 (thirty) days from the date of a written notification addressed by either Party, inter alia, with the validity, termination or effects of this Agreement or any terms or conditions to this effect, such dispute shall be referred to arbitration of the sole arbitrator to be appointed mutually by the Parties. The Arbitration shall be governed by and conducted in accordance with the provisions of the Arbitration and Conciliation Act, 1996. The arbitration proceedings shall be conducted in English and the arbitration shall take place at Pune. The arbitral award shall be final and binding upon both Parties.

Force Majeure:

MAVI shall not be liable for any failure to fulfill the Agreement or any term or condition of the Agreement if fulfillment has been delayed, hindered or prevented by circumstances beyond its reasonable control including but not limited to pandemic, fire, explosion, flood, tempest, unusually adverse weather conditions, failure or shortage of power supplies, network failure, fault or failure of machinery, war, hostilities, riot, acts of terrorism, strikes, lock-outs or other industrial action or trade dispute (“a Force Majeure Event”).

Severability:

If a court of competent jurisdiction finds any provision of this Agreement, or portion thereof to be unenforceable, that provision of this Agreement will be enforced to the maximum extent permissible so as to effect the intent of the Parties, and the remainder of this Agreement shall continue in full force and effect. The invalidity or unenforceability of any provisions of this Agreement in any jurisdiction shall not affect the validity, legality or enforceability of the remainder of this Agreement in such jurisdiction or the validity, legality or enforceability of this Agreement, including any such provision, in any other jurisdiction, it being intended that all rights and obligations of

Order of Precedence:

In the event of any conflict, contradiction, or ambiguity between this Agreement or any other terms and conditions of MAVI, then this Agreement shall prevail in respect of such conflict, contradiction, or ambiguity in relation to the evZAPP App.

Survival:

Notwithstanding anything contrary contained herein, the rights and obligations which have accrued at the time of expiration of this Agreement shall survive the expiry of this Agreement and any provisions hereof which, by their nature, are intended to survive this Agreement, will so survive.
